BioMicroLab, Inc – Terms & Conditions


Payment Terms:
Please remit payment to Vendor: CopyPro, Inc (parent company of BioMicroLab, Inc.).  Check and wire transfer are accepted.

Payment terms are Net 30 from the date of invoice upon credit approval. The price presumes satisfactory credit verification and payment received within 30 days of the shipping date. Customers outside the U.S.A. are requested to prepay via wire transfer prior to shipment for initial orders. BioMicroLab reserves the right to charge a late fee of 1.5% of invoice price per month. Domestic credit cards Visa, MasterCard and American Express also accepted with a 3% processing fee. Credit cards will be charged on the day of shipment.

Domestic (USA):

  • CIP: Various [for Consumables only]

International (outside USA):
  • CIP: Concord, CA Prepay and Add
  • CIP: Various [for Consumables only]
  • All shipments, including warranted parts, to customer sites outside the U.S.A. will be freight prepay and add.
  • BioMicroLab ships using FedEx International service.  
  • FedEx serves as BioMicroLab customs broker unless specified by the customer.
  • FedEx international will collect all VAT, Customs and Duties taxes from the customer upon entry of the system.
  • BioMicroLab can provide estimate of VAT, Customs, Duties, local taxes if requested.

Statement of Contract & Order Cancellation:

A complete contract between BioMicroLab, Inc. and CUSTOMER will consist of the quotation and a purchase order that references the quotation number. Issuance of said signed purchase order indicates acceptance by CUSTOMER of all terms of the quotation. 

PURCHASE ORDER(S) BASED ON YOUR QUOTATION MAY NOT BE CANCELLED. Due to the custom nature of each order, we must charge cancellation fees if a cancellation is requested by the CUSTOMER. The CUSTOMER agrees to pay the following fees:

  • For single shipment Purchase Orders: Upon cancellation, the customer agrees to reimburse BioMicroLab for all material expenses incurred to that point (including cancellation fees from subcontractors.) Exception: if notice of cancellation is received within one week of the scheduled ship date, the cancellation fee will be 100% of the order.
  • For annual or blanket Purchase Orders (with scheduled monthly releases): the customer agrees to pay 50% of the remaining shipment value at the time of cancellation.



BioMicroLab Robotic Laboratory Equipment – Limited Warranty


Motion/robotic tube sorting, weighing, labeling, liquid handling, and volume detection systems:
Applies to product lines: XL Series Tube & Vial Handlers, VolumeCheck, XL AutoCap, XL LabelPro

The robotic mechanism, barcode reader, analytical balance, power supply, controller card, supplied cables, manuals, and software (if originally provided by BioMicroLab) are warranted on a limited basis to be free from manufacturing defect for a period of one year from the date of invoice. Any service labor and parts covered by the warranty will be provided at no charge during the warranty period. 

After the purchase warranty expires, warranty for parts and service is 60 days.

All warranty work shall be performed at BioMicroLab facility, Concord, CA, and requires pre-authorization by BioMicroLab. CUSTOMER shall pay shipping cost of returning any unit to BioMicroLab and BioMicroLab shall pay shipper cost (ground or economy) of returning any unit repaired under warranty to CUSTOMER except as stated above in terms for shipments outside the U.S.A.

SampleScan 2D tube scanning systems:

The SampleScan 2D scanning unit, enclosure, power supply, controller card, computer, supplied cables, manual, and software (if originally provided by BioMicroLab) are warranted on a limited basis to be free from manufacturing defect for a period of five years from the date of invoice. Any service labor and parts covered by the warranty will be provided at no charge during the warranty period. 

After the purchase warranty expires, warranty for parts and service is 60 days.

All warranty work shall be performed at BioMicroLab facility, Concord, CA, and requires pre-authorization by BioMicroLab. CUSTOMER shall pay shipping cost of returning any unit to BioMicroLab and BioMicroLab shall pay shipper cost (ground or economy) of returning any unit repaired under warranty to CUSTOMER except as stated above in terms for shipments outside the U.S.A.

Exclusions:

This warranty covers the original purchaser of the equipment only and is not transferable. This warranty does not cover any damage to the BioMicroLab equipment caused by misuse, neglect, modification, unintended operation, exposure to chemicals or corrosive compounds, shipping accidents, or shipping damage of any kind, including that which may occur during shipment to you from a distributor or reseller. BioMicroLab makes no other warranties or representations, either expressed or implied with respect to your BioMicroLab equipment or documentation, its quality, merchantability performance, fitness for a particular purpose, or the results obtainable through use of the equipment. The BioMicroLab equipment is sold with only the limited warranty described herein, and you, the owner, are assuming all other risks as to its quality and performance. In no event will BioMicroLab or its developers, directors, officers, employees or affiliates be liable for direct, incidental, indirect, special or consequential damages (including damages for loss of business profits, business interruptions, loss of business information and the like) resulting from any defect in this equipment or its documentation or arising out of the use of or inability to use the equipment or accompanying documentation. No oral or written information or advice given by BioMicroLab or its authorized dealers, distributors, agents, affiliates, developers, directors or employees or any person shall create a warranty or in any way increase the scope of this warranty. Some jurisdictions do not allow the exclusion or limitation of implied warranties or liabilities for incidental or consequential damages. Some jurisdictions have special statutory consumer protection provisions that may supersede this limitation. As a result, this limitation of liability may not apply to you if prohibited by the laws of your jurisdiction. 

Service / Labor:

BioMicroLab will provide “depot service” for warranty repairs or service. Service labor will be provided at the BioMicroLab's factory located in Concord, California. 

All shipments of items to BioMicroLab for repair must be marked with a Return Merchandise Authorization Number (RMA) provided by BioMicroLab service department. No equipment will be accepted by BioMicroLab without an RMA. 

Shipping Policy:

During the warranty period, customers may return the equipment for repairs to BioMicroLab, freight prepaid by customer. Expedited or air shipment costs will be borne by the customer. All freight charges for return shipment shall be paid by the customer. All warranty repair shipment of equipment to BioMicroLab must be in original packaging including foam inserts, containers, and shipping crate. All equipment must be insured for the full retail price of the equipment. Shipment of equipment in unsuitable packaging may result in damage to equipment and will void all warranties. Damage or loss of equipment shipped to BioMicroLab for any reason is the responsibility of the customer or the customer’s agent. BioMicroLab has no liability for any shipping damage whatsoever. Additional or replacement packaging can be provided by BioMicroLab and shipped to the customer location at a nominal cost. 

International Shipping Policy:

All international shipments or any expedited shipment charges shall be prepaid by the customer. International shipments must be made via Federal Express, United Parcel Service, or DHL to expedite customs clearance. International shipments to BioMicroLab for service by any other method will result in USA customs charges and customs brokerage fees that must be paid by the customer. Any international shipments must be accompanied by complete documentation indicating that the equipment is of USA origin and manufacture and is being returned for repair or service under warranty.
